This Seller Agreement (“Agreement”) is between India Business International (“IBI”, “we”, “us”), a proprietorship of Dr T Sasimurugan ME.PhD., GSTIN 33AOLPP8759A2ZO, having its principal place of business at Plot No 8/9 B, Overseer eCommerce WareHouse, Neeruvakuzhi-South, Karungal to Kurumpanai Road, Palapallam Post Office, Kanyakumari District, TamilNadu, PIN-629159, INDIA, operator of the IBI eCommerce Marketplace at indiabusinessinternational.online (“Marketplace”), and the business or individual who registers as a seller (“Seller”, “you”). By ticking “I agree” at registration, or by listing or selling on the Marketplace, you accept this Agreement and the Seller Policies in Part B, which form part of it.

1. Definitions
- Listing — a product page you create on the Marketplace, including its variations, prices, stock and images.
- Order — a customer purchase of one or more of your listings placed through the Marketplace.
- Selling Price — the price you set for a listing, inclusive of GST, at which the customer buys.
- Commission — IBI’s fee on each sold item, calculated on the Selling Price as set out in Part B.
- Payout — the amount IBI transfers to your registered bank account for delivered orders after Commission, applicable taxes and adjustments.
- Seller Central — the seller dashboard on the Marketplace where you manage listings, orders, earnings and your profile.
2. Eligibility and registration
- You must be an Indian business or an Indian resident aged 18 or over, with the legal capacity to enter this Agreement.
- Registration requires accurate and complete details: legal business name, owner name, mobile, email, PAN, GSTIN (where you are registered or required to be registered under GST), registered business address, pickup address, and bank account for payouts.
- You must upload KYC documents: PAN card, GST registration certificate (if GSTIN is given), a cancelled cheque or bank passbook page, and an address proof. IBI verifies these before or after approval and may ask for more. Payouts are released only to a bank account that has been verified against the KYC documents.
- One seller account per business. IBI may refuse or revoke registration at its discretion, including where details cannot be verified.
- You must keep your details current in Seller Central. Changes to bank details or documents return the account to “KYC pending” until re-verified.
3. Account and security
- Your Seller ID and PIN are personal to you. You are responsible for every action taken through your account.
- Never share your PIN. IBI staff will never ask for it on a call or message. Tell us immediately at indiabusinessinternational@gmail.com if you suspect misuse.
4. Listings
- Every listing must describe the product accurately: title, description, images of the actual product, brand, material, sizes, colours, MRP, Selling Price, HSN code and GST rate.
- You may list only products you own or are authorised to sell. Counterfeit, replica or unauthorised branded goods are prohibited.
- The Selling Price must never exceed the MRP printed on the product. Every packaged product must carry the declarations required by the Legal Metrology (Packaged Commodities) Rules: MRP, net quantity, manufacturer or packer name and address, country of origin and consumer-care details.
- IBI reviews each listing within 24–48 working hours and may edit titles or descriptions for clarity, or reject or pause a listing that breaches this Agreement or the Listing Standards in Part B.
- You must keep stock accurate. Cancelling orders for want of stock counts against your performance (clause 11).
5. Orders and fulfilment
- Orders are notified on WhatsApp and in Seller Central. You must accept or decline an order within 1 working day and dispatch within 2 working days of acceptance (the “Dispatch SLA”), unless a longer time is stated on the listing.
- You pack and ship each order from your pickup address in packaging fit for transit, with a tax invoice in your name inside the parcel and the tracking details recorded in Seller Central or shared with IBI on the day of dispatch.
- Delivery must be to the customer’s address on the order. Cash-on-delivery orders are offered only where IBI enables them for your account.
- You may cancel an order only for genuine stock-out or a customer request received through IBI. Repeated seller cancellations, late dispatch or wrong-item shipments may lead to suspension.
6. Fees, payments and payouts
- Registration and listing are free. IBI charges the Commission in Part B on each item delivered. GST at the applicable rate (currently 18%) is charged on the Commission and shown on the settlement statement.
- Any payment-gateway or logistics charges apply only where IBI provides that service for your order and are notified in advance in Part B.
- Payouts are made weekly, on Mondays, by NEFT/IMPS to your verified bank account, for orders confirmed as delivered and past the return window in Part B. The minimum payout is ₹500; smaller balances carry forward.
- Refunds, return shipping for seller-fault returns, customer compensation for wrong or damaged items, and any penalties in Part B are adjusted against your payouts.
- Statutory deductions, if any apply under the CGST Act (including tax collected at source under Section 52) or the Income-tax Act, are made at the prevailing rate and reported in your settlement statement so that you can claim credit.
- You must raise any payout dispute within 30 days of the settlement statement.
7. Returns, replacements and refunds
- Customers may request a return or replacement within 7 days of delivery for a damaged, defective, wrong, missing or materially different item, and within the period stated on the listing for other reasons.
- Seller-fault returns (wrong, damaged, defective, misdescribed) are refunded to the customer by IBI and recovered from you, including the return shipping cost. Returns for customer preference are handled under the Returns Matrix in Part B.
- Returned goods are sent to your pickup address. You must report a dispute about a returned item within 3 days of receipt, with photographs.
8. Taxes and compliance
- You are solely responsible for GST and income tax on your sales, for issuing a valid tax invoice for every order, and for filing your own returns. IBI reports the Commission it charges on its own invoices.
- You must comply with all laws that apply to your products, including the Consumer Protection Act 2019 and the Consumer Protection (E-Commerce) Rules 2020, the Legal Metrology Act, BIS standards where applicable, and food, drug, cosmetic or electronic safety rules where relevant.
- Under the E-Commerce Rules your legal name, address, contact details and GSTIN may be displayed to customers alongside your listings.
9. Intellectual property and content
- You warrant that your listings, images and brand names do not infringe any third party’s rights.
- You grant IBI a non-exclusive, royalty-free licence to display, reproduce and promote your listing content on the Marketplace and IBI’s channels for the purpose of selling your products.
- The IBI name, logos and Marketplace design belong to India Business International and may not be used without written permission.
10. Data and privacy
- IBI uses your details to operate your account, verify KYC, process orders and payouts and meet legal duties, as described in the Privacy Policy. KYC documents are stored privately and shared only with our bank or authorities where required.
- Customer data you receive with an order may be used only to fulfil that order. You must not add customers to marketing lists, contact them for other purposes, or retain their data longer than needed.
11. Performance and suspension
- IBI monitors dispatch time, cancellation rate, return rate and customer complaints. Consistently poor performance, counterfeit or prohibited goods, misleading listings, abusive conduct or any breach of this Agreement may result in listings being paused, payouts being held for verification, or the account being suspended or closed.
- Where practicable IBI will notify you and give 7 days to remedy a breach before suspension.
12. Term and termination
- This Agreement runs from your registration until terminated. Either party may terminate on 15 days’ written notice; IBI may terminate immediately for a material breach.
- On termination you must fulfil orders already accepted. Final payouts are released after the return window of the last delivered order, less any adjustments.
13. Liability and indemnity
- IBI provides the Marketplace as a facilitator between you and customers. You are the seller of record and responsible for the products, their quality, safety, description and legality.
- IBI is not liable for indirect or consequential loss, or loss of profit. IBI’s total liability to you in any 12-month period is limited to the Commission it earned from your sales in that period.
- You indemnify IBI against claims, losses and costs arising from your products, listings, breach of law or breach of this Agreement.
14. Changes to this Agreement
IBI may update this Agreement or the Seller Policies. Material changes are notified by email or in Seller Central at least 30 days before they take effect, except where a change is required by law. Continued selling after the effective date is acceptance. Each version is dated at the top of this page.
15. Governing law and disputes
This Agreement is governed by the laws of India. Raise any dispute first with the Grievance Officer (clause 16). Unresolved disputes are subject to the exclusive jurisdiction of the courts at Chennai, Tamil Nadu.

Complaints are acknowledged within 48 hours and resolved within one month of receipt, as required by the Consumer Protection (E-Commerce) Rules 2020.
Part B — Seller Policies
B1. Fee schedule

Example: an item sold at ₹500 carries a commission of ₹25 plus ₹4.50 GST; the payout for that item is ₹470.50 before any adjustments.
B2. Shipping and service levels
- Accept or decline an order within 1 working day; dispatch within 2 working days of acceptance.
- Share the courier name and tracking number on the day of dispatch. Use a courier that provides online tracking.
- Include a tax invoice inside the parcel. Fragile items must be double-boxed; liquids sealed and bagged.
- Where IBI enables cash-on-delivery for your account, COD amounts are collected by the courier and settled to you through IBI in the normal payout cycle.

B4. Prohibited items
Counterfeit or replica goods; items infringing trademarks or copyright; weapons, ammunition and explosives; tobacco, e-cigarettes, alcohol and narcotics; prescription drugs; live animals and wildlife products; hazardous chemicals; adult content; recalled or unsafe products; stolen goods; currency, securities and lottery tickets; any item whose sale is restricted by Indian law or requires a licence the seller does not hold.
B5. Listing standards
- Titles: product name, key attribute, brand, size or quantity; no promotional words such as “best” or “free”, no phone numbers or links.
- Images: real photographs of the product on a clean background, at least 900 px on the long side, no watermarks or contact details, first image shows the product alone.
- Descriptions and key features must be truthful and specific: material, dimensions, weight, pack contents, care instructions and warranty where applicable.
- Correct HSN code and GST rate on every listing; MRP printed on the product must match the MRP listed.
- One listing per product; use the Colour × Size variation matrix rather than duplicate listings.
